進(jìn)出口貿(mào)易合同協(xié)議書

雙方同意買賣________________，其條款如下：

7、付款條件：簽訂合同后買方于7個(gè)銀行日內(nèi)開出以賣方為受益人的，經(jīng)確認(rèn)的、不可撤銷的、可分割、可轉(zhuǎn)讓的、不得分批裝運(yùn)的、無(wú)追索權(quán)的信用證。
8、裝船：從賣方收到買方信用證日期算起，45天內(nèi)予以裝船。若發(fā)生買方所訂船舶未按時(shí)到達(dá)裝貨，按本合同規(guī)定，賣方有權(quán)向買方索賠損毀/耽擱費(fèi)，按總金額___%計(jì)算為限。因此，買方需向賣方提供銀行保證。
9、保證金：賣方收到買方信用證的14個(gè)銀行日內(nèi)，向買方寄出___%的保證金或銀行保函。若賣方不執(zhí)行合同其保證金買方予以沒收。
10、應(yīng)附的單據(jù)：賣方向買方提供：
(1)全套清潔提貨單;
(2)一式四份經(jīng)簽字的商業(yè)發(fā)票;
(3)原產(chǎn)地證明書;
(4)裝箱單;
(5)為出口____________________所需的其他主要單據(jù)。
11、裝船通知：賣方在規(guī)定的裝貨時(shí)間，至少14天前用電報(bào)方式將裝船條件告知買方。買方或其代理人將裝貨船估計(jì)到達(dá)裝貨港的時(shí)間告知賣方。
12、其他條款：質(zhì)量、數(shù)量和重量的檢驗(yàn)可于裝貨港一次進(jìn)行。若要求提供所需的其他證件，其辦理手續(xù)費(fèi)、領(lǐng)事簽證費(fèi)應(yīng)由買方負(fù)擔(dān)。
13、裝船時(shí)間：當(dāng)日13：00或次日8：00裝船。
14、裝貨效率：每一個(gè)晴天工作日，除星期日，節(jié)假日外，每艙口進(jìn)貨為____立方噸。
15、延期費(fèi)/慢裝卸罰款：對(duì)于________________載重噸船來(lái)說(shuō)，每天________________U.S.D.。

買賣雙方經(jīng)協(xié)商同意按下列條款成交：
The undersigned Seller and Buyer have agreed to close the following transactions according to the terms and conditions set forth as below：

By Confirmed， Irrevocable， Transferable and Divisible L/C to be available by sight draft to reach the Seller before ______ and to remain valid for negotiation in China until ______after the Time of Shipment. The L/C must specify that transshipment and partial shipments are allowed.
買方未在規(guī)定的時(shí)間內(nèi)開出信用證，賣方有權(quán)發(fā)出通知取消本合同，或接受 買方對(duì)本合同未執(zhí)行的全部或部份，或?qū)σ虼嗽馐艿膿p失提出索賠。
The Buyer shall establish a Letter of Credit before the above-stipulated time， failing which， the Seller shall have the right to rescind this Contract upon the arrival of the notice at Buyer or to accept whole or part of this Contract non fulfilled by the Buyer， or to lodge a claim for the direct losses sustained， if any.

10. 品質(zhì)/數(shù)量異議 (Quality/Quantity discrepancy)：
如買方提出索賠，凡屬品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，凡屬 數(shù)量異議
須于貨到目的口岸之日起15天內(nèi)提出，對(duì)所裝貨物所提任何異議于保險(xiǎn) 公司、輪船公司、其他有關(guān)運(yùn)輸機(jī)構(gòu)或郵遞機(jī)構(gòu)所負(fù)責(zé)者，賣方不負(fù)任何責(zé)任。
In case of quality discrepancy， claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination， while for quantity discrepancy， claim should be filed by the Buyer within 15 days after the arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company， Shipping Company， other Transportation Organization /or Post Office are liable.
11. 由于發(fā)生人力不可抗拒的原因，致使本合約不能履行，部分或全部商品 延誤交貨，賣方概不負(fù)責(zé)。本合同所指的不可抗力系指不可干預(yù)、不能避免且不 能克服的客觀情況。 The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which might occur. Force Majeure as referred to in this contract means unforeseeable， unavoidable and insurmountable objective conditions.
12. 仲裁(Arbitration)：
因凡本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，如果協(xié)商不能解決，應(yīng)提 交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)。按照申請(qǐng)仲裁時(shí)該會(huì)當(dāng)時(shí)施行的仲裁 規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。
Any dispute arising from or in connection with the Sales Contract shall be settled through friendly negotiation. In case no settlement can be reached， the dispute shall then be submitted to China International Economic and Trade Arbitration Commission (CIETAC) ，Shenzhen Commission for arbitration in accordance with its rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.
13. 通知(Notices)：
所有通知用___文寫成，并按照如下地址用傳真/電子郵件快件送達(dá)給各方。如果地址有變更，一方應(yīng)在變更后___日內(nèi)書面通知另一方。
All notice shall be written in _____ and served to both parties by fax/e-mail /courier according to the following addresses. If any changes of the addresses occur， one party shall inform the other party of the change of address within ____ days after the change.

不可撤銷的、可轉(zhuǎn)讓和可分割的、允許分批裝運(yùn)和轉(zhuǎn)船的信用證。該信用證憑裝運(yùn)
單據(jù)在中國(guó)的中國(guó)銀行見單即付。
該信用證必須在__前開出。信用證有效期為裝船后十五天在中國(guó)到期。
(10)單據(jù)：賣方應(yīng)向議付銀行提供已裝船清潔提單、發(fā)票，裝箱單/重量
單：如果本合同按CIF條件，應(yīng)再提供可轉(zhuǎn)讓的保險(xiǎn)單或保險(xiǎn)憑證。
(11)裝運(yùn)條件：
1)載運(yùn)船只由賣方安排，允許分批裝運(yùn)并允許轉(zhuǎn)船。
2)賣方于貨物裝船后，應(yīng)將合同號(hào)碼、品名、數(shù)量、船名、裝船日期以電報(bào)
通知買方。
(12)品質(zhì)和數(shù)量/重量的異議與索賠：貨到目的口岸后，買方如發(fā)現(xiàn)貨物
品質(zhì)及/或數(shù)量/重量與合同規(guī)定不符，附屬于保險(xiǎn)公司及/或船公司的責(zé)任外，
買方可以憑雙方同意的檢驗(yàn)機(jī)構(gòu)出具的檢驗(yàn)證明向賣方提出異議。品質(zhì)異議須于貨
到目的口岸之日起30天內(nèi)提出，數(shù)量/重量異議須于貨到目的口岸之日起15天
內(nèi)提出。賣方應(yīng)于收到異議后30天內(nèi)答復(fù)買方。
(13)人力不可抗拒：由于人力不可抗拒事故，使賣方不能在本合同規(guī)定期
限內(nèi)交貨或者不能交貨，賣方不負(fù)責(zé)任。但賣方必須立即以電報(bào)通知買方。如買方
提出要求，賣方應(yīng)以掛號(hào)函向買方提供由中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)或有關(guān)機(jī)構(gòu)出具
的事故的證明文件。
(14)仲裁：凡因執(zhí)行本合同或與本合同有關(guān)事項(xiàng)所發(fā)生的一切爭(zhēng)執(zhí)，應(yīng)由
雙方通過友好方式協(xié)商解決。如果不能取得協(xié)議時(shí)，則在被告國(guó)家根據(jù)被告國(guó)家仲
裁機(jī)構(gòu)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁決定是終局的，對(duì)雙方具有同等的約束力，
仲裁費(fèi)用除非仲裁機(jī)構(gòu)另有決定外，均由敗訴一方負(fù)擔(dān)。
